Description of Services

Verzi Corporation provides AI engineering and technology consulting services, including but not limited to:

  • AI platform engineering and implementation
  • Data infrastructure design, integration, and management
  • Intelligent automation for business and operational workflows
  • Fractional CTO and technical leadership services
  • Technology strategy and roadmap development

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work or service agreement executed between Verzi Corporation and the client. These Terms of Service govern general use of our website and provide the baseline framework for our service relationships.

Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of Verzi Corporation or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this site without our prior written consent.

Client Work Product

Ownership of work product created during client engagements is governed by the applicable Statement of Work or service agreement. Unless otherwise specified in writing, Verzi Corporation retains ownership of its proprietary tools, frameworks, methodologies, and pre-existing intellectual property. Clients receive a license to use deliverables as specified in their agreement.

Feedback

Any feedback, suggestions, or ideas you provide regarding our services may be used by Verzi Corporation without obligation or compensation to you, unless otherwise agreed in writing.

Confidentiality

We understand that our engagements involve access to sensitive business and technical information. Verzi Corporation maintains strict confidentiality obligations with respect to all client data, systems, and proprietary information.

  • All client information is treated as confidential unless it is publicly available or independently developed.
  • We execute Non-Disclosure Agreements (NDAs) upon request and as standard practice for consulting engagements.
  • For engagements involving protected health information (PHI), we enter into Business Associate Agreements (BAAs) in compliance with HIPAA.
  • Access to client information is restricted to team members directly involved in the engagement.

Limitation of Liability

To the maximum extent permitted by applicable law, Verzi Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our website or services.

Our total aggregate liability for any claims arising from or related to our services shall not exceed the total fees paid by you to Verzi Corporation in the twelve (12) months preceding the claim.

We provide our website on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

Indemnification

You agree to indemnify and hold harmless Verzi Corporation, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms of Service or your misuse of our website or services.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
